PLEASE READ THESE TERMS CAREFULLY. BY DOWNLOADING, INSTALLING, ACCESSING, OR USING CABAS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE OF THE APPLICATION AND UNINSTALL IT FROM YOUR DEVICE.

1.Parties and Scope of Agreement

These Terms of Use ("Terms", "Agreement") constitute a legally binding contract between you, the individual end user ("User", "you", "your"), and Cabas Global LLC ("Cabas", "we", "us", "our"). These Terms govern your access to and use of the Cabas mobile application, all associated software, content, features, updates, and services (collectively, the "Service"), in all territories where the Service is made available.

2.Eligibility

You must be at least 16 years of age to create an account or use the Cabas Service. This minimum age applies uniformly across all territories, including the United States, Canada, France and the European Union. By using the Service, you represent and warrant that you are 16 years of age or older. If Cabas discovers that a user is under 16, the account will be terminated immediately and any associated data deleted.

3.Account Registration and Security

To access the full features of the Service, you must register for an account. By registering, you agree to:

• Provide accurate, complete, and current information, including your full name, valid email address, and an age range (rather than your exact date of birth, to better protect your privacy);

• Maintain and promptly update your account information;

• Select a strong, unique password and keep it strictly confidential;

• Refrain from sharing your credentials with any third party;

• Notify us immediately at [email protected] of any unauthorized account access;

• Accept full responsibility for all activity conducted under your account.

Cabas reserves the right to refuse registration, suspend, or permanently terminate any account at its sole discretion where it reasonably suspects misrepresentation, fraudulent activity, or violation of these Terms.

4.Subscription Plans, Fees and Payment

Access to the Service requires an active paid subscription:

4.2 Taxes and Duties

All prices are stated exclusive of taxes unless otherwise indicated. Applicable taxes will be assessed and collected at checkout based on your billing address, including: (a) federal and state sales taxes (United States); (b) GST, HST, and provincial sales taxes including QST (Canada); and (c) Value Added Tax (TVA/VAT) at the applicable rate (France and EU).

4.3 Auto-Renewal and Billing

Subscriptions renew automatically at the end of each billing period unless cancelled at least twenty-four (24) hours before the renewal date. By subscribing, you authorize Cabas (via Apple Store or Google Play) to charge your payment method for the applicable fee plus taxes at each renewal.

4.4 Free Trial

Cabas may offer a free trial period. Trial terms will be disclosed at the time of the offer. Upon expiry of the trial, your subscription automatically converts to a paid plan unless cancelled beforehand.

4.5 Price Changes

Cabas may modify subscription pricing upon no fewer than thirty (30) days prior written notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

4.6 Refund Policy

Except as required by mandatory consumer protection law in your jurisdiction, all subscription fees are final and non-refundable. Upon cancellation, access continues through the end of the current billing period.

5.Account Deletion and Termination

5.1 Deletion by the User

You may permanently delete your account at any time by:

• In-App Deletion: Navigate to Profile > Settings > Account > Delete Account and confirm the prompts. Deletion is immediate and irreversible.

• Support Request: Email [email protected] with subject line "Account Deletion Request". We will process your request within thirty (30) days.

Upon deletion, your profile, shopping lists, inventory data, recipes, and preferences are permanently removed. Encrypted backup copies may be retained for up to ninety (90) days before permanent purge. Please note that deleting your account won't automatically trigger a refund. If you think you're owed a refund, reach out to our support team before closing your account!

5.2 Termination by Cabas

Cabas reserves the right to suspend or permanently terminate your account without prior notice for: (a) violation of these Terms; (b) false registration information; (c) fraudulent or unlawful conduct; or (d) use harmful to Cabas or other users.

6.Description of Service

Cabas is a smart grocery shopping and household management application. Features include:

• Creation and management of multiple shopping lists with priority tagging and category organization;

• Household inventory and pantry tracking with expiry date monitoring;

• Recipe management and ingredient shopping integration;

• Product favoriting, notes, and quantity management.

Cabas may add, modify, suspend, or discontinue any feature at any time without notice.

7.Intellectual Property Rights

All content, features, and functionality of the Service are the exclusive property of Cabas Global LLC and are protected by applicable intellectual property laws. Cabas grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the App solely for personal, non-commercial purposes.

8.Acceptable Use Policy

You must not:

• Attempt to gain unauthorized access to any part of the Service;

• Introduce viruses, malware, or other malicious code;

• Scrape or extract data without prior written authorization;

• Use the Service for fraudulent or impersonation purposes;

• Transmit spam or unsolicited commercial communications.

9.Privacy and Data Protection

Your use of the Service is governed by the Cabas Privacy Policy, incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and processing of your personal data as described therein, in compliance with COPPA, CCPA, PIPEDA, Law 25, the GDPR, and the French Data Protection Act, as applicable.

10.Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. CABAS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING HEREIN EXCLUDES LIABILITY THAT CANNOT BE LIMITED UNDER MANDATORY CONSUMER PROTECTION LAW.

11.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CABAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. CABAS TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) SUBSCRIPTION FEES PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) USD $100.

12.Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Illinois. Any disputes shall be resolved exclusively in the state or federal courts located in Chicago, Illinois. Users in France and the EU retain the right to bring proceedings in the courts of their country of habitual residence. Contact [email protected] before initiating formal proceedings.

13.Amendments

Cabas may amend these Terms at any time. Material changes will be communicated by email or in-app notification with at least thirty (30) days’ notice. Continued use after the effective date constitutes acceptance.

14.General Provisions

Entire Agreement These Terms and the Privacy Policy constitute the entire agreement between you and Cabas regarding the Service and supersede all prior understandings.

Severability If any provision is found invalid or unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions remain in full force and effect.

Waiver No waiver of any provision shall be effective unless made in writing and signed by both parties. Failure by either party to enforce any right shall not constitute a waiver of that right.

Assignment You may not assign your rights without Cabas's prior written consent. Cabas may assign these Terms in connection with a corporate transaction, provided the acquiring entity assumes all obligations herein.

No Oral Modification No modification to these Terms shall be valid unless made in writing and agreed to by both parties.

Language These Terms are drafted in English. In the event of a conflict between language versions, the English version prevails to the extent permitted by applicable law. Translations available upon request by contacting Cabas Global LLC at [email protected]
